GameStop has reaffirmed its commitment to pursuing its proposed acquisition of e-commerce giant eBay, signaling that it has no intention of abandoning the ambitious takeover attempt despite the online marketplace’s decision to reject the unsolicited offer earlier this year.
In a brief regulatory filing released on Friday, the video game retailer said it remains committed to moving forward with its proposal to acquire eBay in a cash-and-stock transaction valued at approximately $56 billion.
The company also issued an optimistic outlook for its financial performance, forecasting a significant improvement in earnings during fiscal 2026. The positive guidance helped lift GameStop shares by more than 2% in after-hours trading as investors reacted to the announcement.
The proposed takeover first caught Wall Street by surprise in May when GameStop Chief Executive Officer Ryan Cohen unveiled the unexpected bid for eBay. The proposal represented one of the most ambitious acquisition attempts in the retail sector, particularly because eBay is valued at roughly five times the size of GameStop.
At the time of the offer, Cohen argued that combining the two companies would create a stronger and more competitive online retail platform capable of challenging industry leader Amazon. He also indicated that he intended to lead the merged company if the transaction were completed.
However, eBay swiftly rejected the unsolicited proposal during the same month, declining to engage with the offer. Despite that setback, GameStop has now made it clear that it continues to believe the acquisition would create substantial strategic value and has not withdrawn its interest in pursuing the transaction.
While the company reiterated its determination to move forward, it stopped short of outlining exactly how it intends to convince eBay or its shareholders to reconsider the proposal. Friday’s filing provided few details regarding the company’s strategy, timeline or any potential next steps in the takeover process.
Earlier in the week, GameStop announced that it planned to release additional information explaining the business case behind the proposed acquisition. The company said investors can expect a comprehensive presentation outlining the strategic rationale for the transaction, along with an operational blueprint describing how the combined business would function if the deal were completed.
On Friday, GameStop again confirmed that further materials regarding the proposed acquisition are forthcoming, suggesting that management intends to provide greater insight into its long-term vision for integrating the two companies and achieving operational efficiencies.
An immediate response from eBay was not available following GameStop’s latest announcement, leaving uncertainty over whether the online marketplace will reconsider its position or continue to reject the proposal.
Alongside its comments on the acquisition, GameStop delivered an upbeat financial outlook that exceeded its most recent annual performance. The company said it expects adjusted earnings before interest, taxes, depreciation and amortization (EBITDA) to surpass $600 million during fiscal 2026. That would represent a substantial increase from the $345.4 million reported for fiscal 2025.
The earnings forecast suggests management expects continued operational improvements and stronger profitability over the coming year, reinforcing investor confidence even as the company pursues one of the largest takeover proposals in its history.
The combination of an ambitious acquisition strategy and a stronger earnings outlook highlights GameStop’s efforts to reshape its business beyond its traditional video game retail operations. By targeting a well-established e-commerce platform such as eBay, the company is signaling its intention to expand its digital marketplace presence and compete more aggressively in the broader online retail sector.
Whether GameStop can ultimately persuade eBay to engage in negotiations remains uncertain, but the retailer’s latest statements make clear that it is not backing away from its takeover ambitions.
Investors are now awaiting the company’s promised strategic presentation, which is expected to provide a more detailed explanation of how management believes the proposed merger would create value for shareholders and strengthen the combined company’s competitive position in the global e-commerce market.
