What is the letter of intent for real estate? Well, a letter of intent is your intent to buy
something. So we're going to get into that. We're going to talk about what is an LOI,
is what they're called, and the various ways to use them in addition to real estate.
Then number two, how do you use it? And do you need a lawyer? A lot of people say, well,
do I need to use it? Do I let a lawyer do that? And then the last thing I want to talk about are
the real life examples, not only in real estate, but I'm going to expand into some businesses and
just how LOIs can be used just for business deals. So I'm going to start by reading an exact,
like, let's get to the definition of what's an LOI, because a lot of you, you're going to go
lawyer on me and go like, you know, look all over the internet. But by the way, the internet is the
bathroom wall. Anybody can write anything about anybody and anything, and it isn't necessarily
accurate. Same with AI. You got to be careful out there and make sure that you're getting
accurate information. A letter of intent is a non-binding document used in real estate
or businesses to show a seller that you're serious, but not exactly right now want to go
under contract. It sets the stage for negotiations, formalizes your intent to buy without locking you
into the deal. You can think of it as a placeholder, but you're letting the seller know that
you're interested in purchasing the property or the business and establishing some basic terms,
but it doesn't legally bind you to the deal. And I have to be careful. There are LOIs who actually
do bind you to the deal by little, you know, words at the end of the documents. And I see
so many of our students sometimes get caught in those because they're not watching the documents.
So the LOI, it's a great way to test the waters. And the other thing that LOIs can do if they're
written properly, especially for business deals, it shuts out any other seller from being able to
actually give an offer. LOIs usually have a timeframe to them, 30 days, 60 days, 90 days to
do a deal. So it allows you to do due diligence. It doesn't bind you to the deal, whether again,
it's real estate or business, you've got to be really careful. Do you need a lawyer to write
an LOI? Not necessarily. What I find, and I've used for most of my career, a lot of paralegals
that are supported by lawyers, but paralegals are usually a third of the price, sometimes a fourth
of the price of what a lawyer is. And these are a lot of times stock, what I call stock and block
documents. So do you want to go grab an LOI off LegalZoom? Not necessarily. I don't like online
portals. I want to talk to a person. I want to ask a lot of questions and make sure that I'm
really clear I'm doing the right thing. Some of you, you go to online portals like LegalZoom or
some of those other document places, and you're not sure what's like, who's behind it? Who's the
lawyers behind it? What was the intent of those documents? And the worst thing about using online
portal documents is not only did you not have a paralegal or a lawyer behind you, when you get
into trouble, a lot of lawyers don't want to take you because they didn't draft the document. So I
like paralegals on our team because they draft the document. I know I have a lawyer behind if
something goes south that we can actually then engage in litigation if we have to, if the deal
goes south or gets misconstrued. Been there too many times, believe it or not. Now, how is a letter
of intent used? Let's go through that in definition. Let's walk through the LOI again, line by line.
You want to identify the parties involved. You want to include which LLC. If you're not sure on
an LLC, always use the words and, or, assigns, comma, LLC means you can transfer the document
from the LOI from one company to the other. Or you could put NewCo if you know you've got to set up
a new company. You want the seller's LLC. You want their personal information if they don't have an
LLC down to the detail. If you can get an EIN or social security number, it's even better. They're
crazy if they give it, but if they do, I'd ask for it. So you want also, you want the property or the
business description. You want the address. You want the details of what you want to look for.
You want to agree to a purchase price based on certain terms that could be determined during
the LOI. Specifically, if there's a loan involved or there's other people's money or some private
lending, that has to be like discretionary in the LOI. So there's a lot of room to move. I love
LOIs because it actually locks the deal or at least gives you an opportunity to do due diligence.
Those of you who don't know how to do due diligence, go grab my Wealth Cycle Investing book
and I will give you a free copy of the Millionaire Maker book, which will set the stage for how to be
a millionaire in real estate or any other industry you want. But the Wealth Cycle Investing is about
alternative investing. It's very specific, talks about due diligence, talks about risk analysis,
which you're going to have to get more financially knowledgeable, which brings me to my ask. Be here
on my channel. Will you subscribe? Check the notification, be here five days a week. And I'm
going to give you a link below to binge my channel because I need you to really consume content. I
need you to consume it about OPM, OPI, OPC. I need you to consume it about real estate, credit cards,
use of credit, corporate life. There's so much that you want to learn before you go into an LOI
that might not be legally binding, but you also don't want to make any mistakes and then have it
legally bound because you didn't know enough to do due diligence or find a team. At any point,
you can text the number 775-588-9200. We'll be right back with you. Ask for a one-on-one
appointment or go to asklaurel.com. Ask a question, make a request. That's A-S-K-L-O-R-E-L.
Ask a question, make a request. We are there 24 hours a day giving you back answers.
So the last thing I want to talk about is just some real life examples. I mean, I have used LOIs
from buying a pizzeria to from buying a nail salon, a hair salon. I have used LOIs in almost
most of my deals. I use LOIs on book deals. I use LOIs on real estate deals. So an LOI is a place
holder for due diligence. That's the best way I have to describe it. So I use them a lot. I have
a lot of varieties. As you become a client of ours, I actually give them to you because it's
just part of contractual work that you're going to need to learn if you want to play at the big
table. And a lot of you, you want the big table results. You want the lower taxes, better returns
and not do enough for it or learn enough. Knowledge is your biggest challenge that you
don't have enough of it. So again, binge here, consume this channel and read deeply about due
diligence, not the bathroom wall called the internet. It's going to give you a variety of
interesting commentary. You want to get with us who are real estate millionaires,
be trained by us and use our teams. So I'd love to help you at any point. Again, call our office,
text our office, 775-588-9200. And I'll talk to you tomorrow.
