Pharmaceutical giant has announced a landmark $10.9 billion acquisition of , marking its largest takeover in more than five years and reinforcing its commitment to expanding its leadership in immunology treatments.
The deal, unveiled on Monday, is one of the biggest biotechnology acquisitions of 2026 and highlights the growing wave of pharmaceutical mergers and acquisitions as major drugmakers race to strengthen their product pipelines ahead of key patent expirations on some of their most profitable medicines.
Under the agreement, AbbVie will acquire Apogee for $135.11 per share, representing a premium of nearly 50% over Apogee’s closing stock price before the announcement. The transaction values the Massachusetts-based biotech company at approximately $10.9 billion and will be financed through debt. Investors reacted positively to the news, sending Apogee shares soaring about 50% in early trading while AbbVie shares climbed more than 4%.
The acquisition provides AbbVie with access to Apogee’s most promising experimental therapy, zumilokibart, a drug candidate currently being developed to treat a range of inflammatory diseases, including atopic dermatitis, asthma, and other immune-related conditions. Industry analysts believe the treatment could become a major competitor in the rapidly growing market for inflammatory disease therapies.
For AbbVie, the move is another strategic step in reshaping its portfolio following the decline of its former blockbuster drug Humira. Once the world’s top-selling medicine, Humira has faced mounting pressure from lower-cost biosimilar competitors, leading to a significant drop in revenue over recent years. The company has been actively pursuing acquisitions and investing in new therapies to offset those losses and maintain long-term growth.
Despite Humira’s decline, AbbVie’s immunology business remains a powerhouse. The company generated more than $30 billion in immunology sales during 2025, driven largely by strong performances from newer treatments Skyrizi and Rinvoq. Revenue from these medicines has helped compensate for a nearly 50% fall in Humira sales, demonstrating the company’s ability to transition toward a new generation of blockbuster products.
Chief Executive Officer described the Apogee acquisition as a natural fit for AbbVie’s long-term strategy. He emphasized that Apogee’s drug pipeline has the potential to produce multiple high-value medicines and could generate what the company describes as “mega-blockbuster” sales, meaning annual revenues exceeding $10 billion.
Analysts have been particularly enthusiastic about zumilokibart because of its potential convenience compared with existing treatments. The drug is being studied as a subcutaneous injection administered once every three or even six months. By comparison, the leading therapy in the market, , developed by and , is typically given every two weeks for patients with atopic dermatitis.
If clinical trials continue to produce positive results and regulatory approval is secured, the less frequent dosing schedule could make zumilokibart an attractive option for both patients and healthcare providers. Experts say this advantage could help AbbVie capture a significant share of the growing market for inflammatory disease treatments.
The Apogee acquisition follows a series of major deals by AbbVie aimed at diversifying its revenue streams. In recent years, the company acquired ImmunoGen for approximately $10.1 billion to strengthen its oncology business and completed the purchase of Cerevel Therapeutics to expand its portfolio of experimental neurological and psychiatric treatments.
Wall Street analysts largely welcomed the latest transaction. Analysts at J.P. Morgan noted that investors have been seeking additional late-stage growth opportunities from AbbVie, while researchers at RBC Capital Markets said the company is well-positioned to maximize the commercial potential of zumilokibart.
The transaction is expected to close during the third quarter of 2026, subject to regulatory approvals and customary closing conditions. AbbVie also stated that the acquisition is expected to contribute positively to adjusted earnings per share by 2032, reinforcing management’s confidence that the deal will generate substantial long-term value.
As competition intensifies across the pharmaceutical industry and companies prepare for the next generation of blockbuster medicines, AbbVie’s acquisition of Apogee signals its determination to remain a dominant force in immunology and secure future growth well beyond the Humira era.
